Admission of New Ordinary Shares
Hamak Strategy Limited (LSE: HAMA / OTCQB: HASTF), a Company combining advanced gold exploration in West Africa with a Digital Asset Treasury Management strategy, announces that it has applied for the admission to trading on the London Stock Exchange of a total of 58,474,075 new ordinary shares in the capital of the Company (the “New Ordinary Shares”).
The New Ordinary Shares comprise:
· 25,000,000 new ordinary shares issued pursuant to the £200,000 subscription by Verdant Capital Limited, as announced by the Company on 9 July 2026; and
· 33,474,075 new ordinary shares to be issued in connection with the Company’s warrant exchange offer.
Warrant Exchange Offer
Further to the Company’s announcements regarding the warrant exchange offer on 13 July 2026, including its announcement on 27 July 2026 that 179,906,090 warrants had been tendered for cancellation, the Company confirms that, following final adjustments to the elections received, a total of167,370,376 warrants will now be cancelled and exchanged for 33,474,075 new ordinary shares.
Admission
Admission of the 58,474,075 New Ordinary Shares to trading on the London Stock Exchange is expected to occur on or around 03 September 2026.
The New Ordinary Shares will rank pari passu in all respects with the Company’s existing ordinary shares.
Following Admission, the Company’s issued share capital will consist of 510,612,474 ordinary shares, each carrying one voting right. The Company does not hold any ordinary shares in treasury.
